1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of the Seentrix platform ("Service") operated by Seentrix Ltd ("we", "us", "Seentrix"), a private limited company registered in England and Wales with company number 17169165, registered office at 167-169 Great Portland Street, London, England, W1W 5PF, United Kingdom. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. The Service is offered to businesses; by accepting these Terms you confirm you are acting in the course of a trade, business, or profession.

2. Service description

Seentrix is a compliance platform that helps manufacturers document, evidence, and maintain compliance with the EU Cyber Resilience Act (Regulation (EU) 2024/2847) and adjacent obligations. We provide workflows, templates, and storage — we do not provide legal advice. Any document generated by Seentrix is drafted from your inputs and must be reviewed by a qualified professional before use in a regulatory context. Responsibility for your regulatory compliance — including the accuracy of any Declaration of Conformity you issue — remains yours at all times.

3. Accounts and organisations

You must provide accurate information when creating an account. Administrators of an organisation are responsible for the actions of all members they invite, including ensuring every team member completes any mandatory training configured in the platform. You are responsible for safeguarding your credentials. Multi-factor authentication is required on every account; store your recovery codes securely.

4. Acceptable use

You agree not to use the Service to:

  • Upload malware, illegal content, or infringing material.
  • Reverse-engineer, scrape, or attempt to gain unauthorised access to the Service or its infrastructure, or circumvent plan limits, rate limits, or product locks.
  • Submit vulnerability reports through our public intake in bad faith (e.g. to harass another organisation or spam).
  • Send communications through the Service (e.g. security notices to your product's users) to recipients you are not entitled to contact, or for purposes other than the compliance communication the feature is designed for.
  • Resell the Service without a written agreement.

5. Plans, fees, and billing

  • Plans and prices. Paid plans are billed through Stripe at the prices published at seentrix.com/pricing, monthly or yearly, in EUR, CHF, or GBP depending on your country. The billing currency is determined by the country declared in your organisation settings, and that declaration is verified against the billing details you confirm with our payment provider at checkout. Optional add-ons (e.g. the AI Boost message allowance) are billed the same way. Enterprise plans are agreed individually and may carry bespoke limits. We may change prices with at least 30 days' notice; changes take effect from your next renewal.
  • Plan changes. Upgrades and downgrades apply to your existing subscription immediately and are prorated by Stripe.
  • Downgrades never delete your data. If your plan allows fewer products than you have (after a downgrade, a trial ending, or non-payment), the products above the new limit become read-only: your most recently created products up to the plan's limit stay editable, and everything becomes editable again when you upgrade. We do not delete compliance data because of a plan change.
  • Trials. We may grant free trial periods of a paid plan (typically one or two weeks; no payment card required). If you do not subscribe by the end of the trial, your organisation automatically returns to the Free plan with the read-only rule above applied — no data is deleted.
  • Non-payment. If a renewal payment fails we remind you by email over a 14-day period. If payment remains outstanding and the subscription is cancelled by our payment provider, your organisation is moved to the Free plan (data retained; excess products read-only). Full access is restored when you subscribe again.
  • Refunds. Fees are non-refundable except where required by law.
  • Cancellation. You may cancel at any time in the billing settings or via the Stripe billing portal; cancellation takes effect at the end of the current billing period, and you keep access until then.

6. Your data

You retain all rights to the data you upload to Seentrix. You grant us a limited licence to process that data solely to operate and improve the Service as described in our Privacy Policy and Data Processing Agreement. We will not sell your data or use it for unrelated advertising. Organisation administrators can export the organisation's data in machine-readable JSON at any time from the settings.

7. Seentrix AI

The Service includes an AI assistant ("Seentrix AI") whose answers are generated by a third-party model provider (Mistral AI, France) from your question and our knowledge base. Seentrix AI answers are informational only: they are not legal advice, they may be incomplete or incorrect, and they must be verified with qualified counsel before you rely on them — compliance with the CRA and any other regulation remains your responsibility. Monthly message allowances depend on your plan (shown at seentrix.com/pricing), reset monthly, and do not roll over.

8. Service availability and support

We aim to maintain high availability but do not guarantee uninterrupted service, and no uptime service level is offered unless separately agreed in writing. Planned maintenance is announced by email to the address on file. Support is available on business days, Monday–Friday, 09:00–18:00 (CET/CEST); messages sent outside these hours are answered when we are back online. Support channels depend on your plan as described on the pricing page; response times are targets, not guarantees.

9. Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the maximum extent permitted by law. Seentrix is not a substitute for legal advice; you are solely responsible for your regulatory compliance.

10. Limitation of liability

To the maximum extent permitted by law, Seentrix's aggregate liability arising out of or related to the Service is limited to the fees you paid for the Service in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (including liability for fraud, or for death or personal injury caused by negligence).

11. Termination and deletion

Either party may terminate this agreement at any time. Upon cancellation you retain access until the end of your current billing period, after which your organisation continues on the Free plan. You may separately request deletion of your organisation from the settings: deletion requires confirmation (and, where your organisation has more than one administrator, approval by a second administrator), is followed by a 30-day grace period during which it can be cancelled, and is then permanent — all organisation data, files, and member accounts are erased. 12. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. Any dispute will be brought exclusively before the courts of London, England.

13. Changes to these Terms

We may update these Terms occasionally. Material changes will be notified to the email on file at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
